ServiceNow Inc., the Santa Clara, California-based workflow automation and enterprise software firm, is in advanced talks to acquire cybersecurity startup Armis in a deal that could reach up to $7 billion, according to media reports.

If completed, the acquisition would likely be the largest in ServiceNow’s history and deepen its footprint in cybersecurity amid rising digital threats.

Armis, founded in 2016 by Israeli military cyber veterans and headquartered in San Francisco, specializes in securing connected devices by providing real-time visibility and risk identification across IT, Internet of Things (IoT), and operational technology environments.

The company recently raised $435 million at a $6.1 billion valuation while preparing for a potential IPO in 2026, but the unsolicited high-value acquisition offer has prompted board reconsideration of strategic options.

The deal could be announced in days, though sources caution that negotiations may still collapse or that rival bidders might emerge. Both ServiceNow and Armis have declined public comment.

For ServiceNow, adding Armis’ capabilities would accelerate its push into cybersecurity, complementing existing products and recent acquisitions such as identity-security provider Veza and AI automation firm Moveworks.

Analysts say embedding advanced security tools into ServiceNow’s platform helps address customer demand for integrated workflows that unify IT operations, automation, and risk management.

Armis reportedly serves more than 40% of Fortune 100 companies, and its technology is seen as a strategic asset in an era of expanding digital attacks.

Last month, it was reported that ServiceNow is in advanced talks to acquire identity-security startup Veza for more than $1 billion. In March, it was reported that ServiceNow is nearing the final stages of a deal to acquire Moveworks.
